MICROSOFT IN THE PAINT “NBA 2K19” COURT DESIGN CONTEST OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. VOID IN QUEBEC AND WHERE PROHIBITED BY LAW.

By entering the Microsoft In The Paint “NBA 2K19” Court Design Contest (“Contest”) you agree to abide by all terms and conditions referenced in these Official Rules.

  1. ELIGIBILITY: This Contest is only open to legal residents of the fifty (50) United States or the District of Columbia who are 18 years of age or older and legal residents of Canada (excluding Quebec) who are the age of majority in his or her province or territory of residence at the time of entry. Employees of Microsoft Corporation (“Microsoft”) (“Sponsor”), Take-Two Interactive, Inc. (“2K”), Project Backboard, GMR Marketing LLC (“GMR”), and any promotion or other vendor agency involved in this Contest (and any other person engaged to work on this promotional program) and each of the above’s respective affiliates (collectively, the “Released Parties”) and the household and immediate family members (defined for the purposes of this Contest as a parent, spouse, child, and sibling) of such employees are not eligible to enter or win. Contest is subject to all federal, state, provincial, territorial, municipal, and local laws and regulations. Void in Quebec and where prohibited or restricted by law.

  2. ENTRY TIMING: This Contest will be accepting entries beginning at 12:01 a.m. Pacific Time (“PT”) on December 4, 2018 and ending at 11:59 p.m. PT on December 12, 2018 (“Contest Entry Period”).

  3. HOW TO ENTER: To enter the Contest, you must first visit www.InThePaint2K19CourtDesign.com (the “Contest Website”) and follow the on-screen instructions to download the Contest court template (the “Court Template”). Once you have downloaded the Court Template, you must create an original basketball court floor design in accordance with the Court Template (a “Design”) and save your finished Design. You then must create a new account or use an existing account on www.twitter.com (“Twitter”), follow the @Xbox Twitter handle at https://twitter.com/Xbox or the @XboxCanada Twitter handle at https://twitter.com/XboxCanada, and share your Design via Twitter using the Contest hashtag “#InThePaint2K19 #Contest” during the Contest Entry Period (a “Submission”). Limit one (1) Submission per person/authorized Twitter account holder. The use of automated devices to enter this Contest is prohibited. The Released Parties and Twitter, Inc., assume no responsibility for lost, late, or misdirected Submissions or any computer, online, telephone, or technical malfunctions that may occur. All Submissions become Microsoft’s property and will not be returned. Submissions will be screened for compliance with Contest requirements and criteria as stated in the section below under “Additional Criteria for Submissions”; incomplete or non-complying Submissions are not eligible and will be disqualified.

    1. ADDITIONAL SUBMISSION CRITERIA FOR ENTRY: Each entrant represents and warrants that his or her Submission is the entrant’s original creation, they are the sole and exclusive owner of the Submission, and the Submission will not infringe on the rights of any third parties. Entrant’s Submission should not include copyrighted, trademarked, or previously published material, including brand names/logos, in each case that may infringe upon a third party’s rights, as determined by Sponsor in its sole discretion, except for Sponsor’s and 2K’s trademarks for which entrant has a limited license to use for the sole purposes of creating and uploading an entry into this Contest. Submissions requiring license or usage rights from any third party, as determined by Sponsor in its sole discretion, are not eligible. Submissions should not defame or invade the rights or privacy of any person, living or deceased, or otherwise infringe upon any third party’s personal, proprietary, or intellectual rights; should not contain images or artwork not created by entrant; should not contain material that is inappropriate, indecent, obscene, hateful, tortuous, defamatory, slanderous, or libelous; should not contain material that promotes bigotry, racism, hatred, or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age; and should not contain material that is unlawful, in violation of, or contrary to the laws or regulations in any state where the entry is created, in each case, as determined by Sponsor in its sole discretion. All Submissions must be consistent with Sponsor’s reputation in the marketplace and must be suitable for audiences of all ages, in each case as determined by Sponsor in its sole discretion. Submissions which, in the judges’ sole discretion, contain any type of vulgarity or objectionable content will be disqualified. Submissions that do not meet these stated criteria, or Submissions that (in the judges’ sole discretion) may technically meet the stated criteria but do not reflect the intent and the spirit of the provisions related to participation are not eligible.

      Submissions must be made by the authorized Twitter account holder at the time of entry. “Authorized Twitter account holder” is deemed as the natural person who is assigned to the Twitter address from which the Submission was received. Submissions must be posted by the close of the Contest Period to be eligible. If your Twitter account is private, your Submission will NOT be eligible; you must change the setting on your account from private to “public” or “unprotected” for your Submission to be considered an eligible entry. You must have a valid Twitter account and agree to the Twitter Terms of Use and the Twitter Privacy Policy in order to be eligible to enter. Registration on Twitter must be completed before a Submission may be submitted. Twitter membership is free. The Twitter platform will be the official time clock for the Contest. All attempts at email or any other Internet method of entry are void. By entering, each entrant grants Sponsor and 2K the perpetual, unlimited and irrevocable right to post, publish, adapt, edit, make derivative works, and/or otherwise use the Submission in any manner, including copyright, and in any media now known or hereafter developed.

  4. JUDGING CRITERIA, SEMI-FINALIST SELECTION AND NOTIFICATION: This is not a game of chance. Odds of winning depend on the number and quality of Submissions received. The judging panel will select up to three (3) Semi-Finalists among all eligible Submissions submitted during the Contest Period on or about December 13, 2018, subject to verification and validation. Limit one (1) Semi-Finalist designation per person. The judging panel will consist of marketing representatives from Microsoft, 2K, and Project Backboard.

    All Submissions will be evaluated on a 15-point scale, with maximum points in each category as follows:

    • Maximum of five (5) points for Appearance

    • Maximum of five (5) points for Creativity of Court Design

    • Maximum of five (5) points for Adherence to these Contest Official Rules

    Any Submission may be eliminated, regardless of point total, in the judges’ sole discretion (i) if it is not consistent with the Sponsor’s brand’s reputation in the marketplace, including its reputation for quality and integrity; (ii) if it does not reflect the goals of the Contest; (iii) if the language or imagery of the Submission is not suitable for all ages; (iv) if the Submission is so deficient in content or execution as to be unclear or inappropriate; (v) if the Submission was submitted from an entrant who has already been selected as a Semi-Finalist; or (vi) if the Submission is not executable or consistent with allowable court floor designs. In the event of ties in point totals among potential Semi-Finalists, the judging panel will revisit the tied Submissions and choose as the potential Semi-Finalist(s), the Submission or Submissions (as needed) that best reflect all criteria as a whole. If fewer than three (3) Semi-Finalists Submissions are received or did not meet the criteria established in the Official Rules, the judging panel reserves the right to select fewer than three (3) Semi-Finalists.

    Each potential Semi-Finalist will be notified on or about December 14, 2018 via direct message to each potential Semi-Finalist’s Twitter account used to enter. Each potential Semi-Finalist will have forty-eight (48) hours from the time of notification to respond to the direct message with their first and last names, country, and daytime phone number or the potential Semi-Finalist winner will automatically forfeit the prize and an alternate potential Semi-Finalist may be designated as a Semi-Finalist based on the next highest judging score total, time and circumstances permitting. Each potential Semi-Finalist will then be contacted via phone to the phone number provided by the potential Semi-Finalist and will be required to respond within twenty-four (24) hours of notification to verify eligibility and provide a shipping address (no P.O. Boxes accepted). If a potential Semi-Finalist does not confirm eligibility and provide a shipping address, the potential Semi-Finalist will automatically forfeit the prize and an alternate Semi-Finalist may be designated as a Semi-Finalist based on the next highest judging score total, time and circumstances permitting.

    In order for the potential Semi-Finalist to be declared as a Semi-Finalist, they must complete, sign, and return the presented affidavit of eligibility/declaration of eligibility, mutually acceptable liability release, and publicity release, and background authorization consent document (the “Documents”) within three (3) calendar days of delivery of the Documents, or the prize will be forfeited in its entirety.

    1. Background Checks: Sponsor reserves the right to conduct a background check on the potential Semi-Finalists and reserves the right in its sole discretion to disqualify a potential Semi-Finalist based on the results of such background check, if the Sponsor determines in its sole discretion that awarding a prize to such Semi-Finalist might reflect negatively on Sponsor. Factors that would result in disqualification as a Semi-Finalist include, without limitation, Semi-Finalist having been convicted of a felony or misdemeanor, being delinquent on a government-ordered payment, such as child support, spousal support, alimony, tax payments, etc., or any other criminal or civil offense determined at the sole discretion of the Sponsor.

    The Semi-Finalist Prizes will be shipped within approximately eight (8) weeks following winner confirmation to the address provided by the Semi-Finalists. Return of any prize/prize notification as undeliverable or failure to accept any prize within the specified time period may result in disqualification and forfeiture of the prize. If notified winner is not eligible, forfeits prize, or declines prize, an alternate Semi-Finalist may be designated as a Semi-Finalist based on the next highest judging score total, time and circumstances permitting.

  5. SEMI-FINALIST PRIZING: Each Semi-Finalist in the Contest will be awarded as follows:

    1. Three (3) Semi-Finalist Prizes: One (1) custom-designed Xbox One X console which will include the Semi-Finalist’s court design (console model, features, design, and all other aspects of the console are at the sole discretion of the Sponsor. Sponsor reserves the right to edit the Semi-Finalists’ designs at their sole discretion in order to conform to the console template). The Approximate Retail Value (“ARV”) of each Semi-Finalist Prize is $499.

    2. Total ARV of all Semi-Finalist Prizes combined: $1,497 USD.

    Prizes are not redeemable for cash. No substitution, transfer, or assignment of prize permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value. Any and all federal, state, and local taxes related to a prize awarded to a legal U.S. resident are solely the responsibility of the Semi-Finalist and Sponsor will comply with all tax reporting requirements. All other expenses not specified as part of prize description are solely the Semi-Finalist’s responsibility.

    Any and all guarantees and warranties for merchandise prizes are subject to the manufacturer’s terms and conditions, and Semi-Finalists agree to look solely to such manufacturers for any such warranty or guarantee claim. Certain conditions and restrictions apply.

  6. ONLINE VOTING AND GRAND PRIZE WINNER DETERMINATION: The Semi-Finalists’ Submissions will be posted online on the @Xbox Twitter handle on or around January 3, 2019 for the public voting phase of the Contest. To be eligible to vote, you must be a legal resident of the fifty (50) United States or the District of Columbia or a legal resident of Canada (excluding Quebec). To vote, visit the @Xbox Twitter handle between January 3, 2019 and January 10, 2019 (the “Contest Voting Period”) and retweet one (1) of the Semi-Finalists Submissions posted containing “#InThePaint2K19 #Contest #Semifinalist” during the Contest Voting Period. Limit one (1) vote per person/authorized Twitter account holder. Offers to pay for votes or offers of like-kind exchanges are NOT permissible. Use of third-party websites, online social networking tools, or similar devices primarily designed or intended to generate or trade votes, as determined in Sponsor’s sole discretion, is expressly prohibited. Use of personal social media accounts, blogs and websites to direct participants to voting is permissible.

    Up to one (1) Semi-Finalist with the most retweet votes will be designated as the potential Grand Prize winner, subject to verification and validation. In the event of a tie in voting, the Submissions involved will be re-judged by an additional judge from Microsoft, 2K, or Project Backboard who will serve as the tie-breaker and who will evaluate Submissions using the Semi-Finalist judging criteria as described in Rule #4 and choose as the potential Grand Prize winner, the Submission that best reflects all criteria as a whole.

  7. VOTER PRIZING: On or around January 14, 2019 at 10 a.m. PT in New Berlin, Wisconsin, United States, GMR will randomly select three (3) potential Voter Prize winners from among all eligible voter entries received during the Contest Voting Period. All random drawings will be conducted under the supervision of Sponsor, whose decisions are final. Odds of winning a prize depend on the number of eligible voter entries received during the Contest Voting Period. Limit one (1) Voter Prize per person.

    1. Three (3) Voter Prizes: One (1) custom-designed Xbox One X console which will include a Semi-Finalist’s court design (console model, features, design, and all other aspects of the console are at the sole discretion of the Sponsor). The ARV of each Voter Prize is $499.

    2. Total ARV of all Voter Prizes combined: $1,497 USD.

  8. VOTER PRIZE WINNERS: The Voter Prize winners will be notified and confirmed as follows:

    1. Voter Prize Winners: Each potential Voter Prize winner will be notified on or about January 15, 2019 via direct message to each potential Voter Prize winner’s Twitter account used to vote. Each potential Voter Prize winner will have forty-eight (48) hours from the time of notification to respond to the direct message with their first and last names, country, and daytime phone number or the potential Voter Prize winner will automatically forfeit the prize and an alternate winner may be randomly selected as a potential Voter Prize winner, time and circumstances permitting. Each potential Voter Prize winner will then be contacted via phone to the phone number provided by the potential Voter Prize winner and will be required to respond within twenty-four (24) hours of notification to verify eligibility and provide a shipping address (no P.O. Boxes accepted). If a potential Voter Prize winner does not confirm eligibility and provide a shipping address, the potential Voter Prize winner will automatically forfeit the prize and an alternate winner may be randomly selected as a Voter Prize winner, time and circumstances permitting.

      1. Canadian Voter Prize Winner Confirmation Process: In order for a Canadian resident to be declared a Voter Prize winner, they must first correctly answer a time-limited mathematical skill-testing question unaided and without mechanical or other assistance and have complied in full with these Official Rules. The skill-testing question will be administered by phone at a mutually convenient time within one hundred and twenty (120) hours of initial notification of selection. In addition, in order for a Canadian resident to be declared a Voter Prize winner, they must complete, sign and return the presented declaration of eligibility, mutually acceptable liability release, and publicity release (the “Canadian Documents”) within seven (7) calendar days of delivery of the Canadian Documents, or the prize will be forfeited in its entirety.

    2. Prize Fulfillment: The Voter Prizes will be shipped within approximately eight (8) weeks following winner confirmation to the address provided by the winner. Return of any prize/prize notification as undeliverable or failure to accept any prize within the specified time period may result in disqualification and forfeiture of the prize. If notified winner is not eligible, forfeits prize, or declines prize, or is unsuccessful in answering the mathematical skill-testing question (applicable to potential winner from Canada only) an alternate winner may be randomly selected as a Voter Prize winner, time and circumstances permitting.

  9. GRAND PRIZE: The Grand Prize winner in the Contest will be awarded as follows:

    1. One (1) Grand Prize: A installation of the winner’s court design on a real-life court and a trip for the Grand Prize winner and one (1) guest to Charlotte, North Carolina to attend the 2019 NBA All-Star Game on February 17, 2019. Grand Prize includes: Round-trip, coach-class airfare for the Grand Prize winner and one (1) guest to North Carolina from an airport determined at the sole discretion of the Sponsor; three (3) nights’ hotel accommodations for winner and guest (hotel to be determined at the sole discretion of the Sponsor, in one (1) double-occupancy room, excluding room service, meals, and other incidentals); roundtrip ground transportation for the Grand Prize winner and one (1) guest between airport and hotel in North Carolina; $500 spending cash to the Grand Prize winner only, awarded in the form of a corporate check; two (2) tickets for the Grand Prize winner and guest to attend the 2019 NBA All-Star Game (game seat locations to be determined at the sole discretion of the Sponsor); and installation of the winner’s court design on a real-life court (all court installation details, including location of court and timing to be determined at the sole discretion of the Sponsor). The ARV of the Grand Prize is $5,050 USD.

      1. Grand Prize Additional Terms: Travel route, air carriers, hotel accommodations, ground transportation vendors, and all elements of the Grand Prize will be determined solely by the Sponsor in its sole discretion. Airline carrier’s regulations and conditions apply. Grand Prize trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. The Grand Prize winner and his/her guest must travel together on the same itinerary. The Grand Prize winner and his/her guest must possess any necessary valid travel documents (i.e., valid government-issued photo ID and/or passport) in order to travel. Airline seat selection and timing of trip are subject to availability and confirmation of reservation and any charges incurred while booking travel are winner’s sole responsibility. No refunds or credits for changes are allowed. All other expenses and costs, not expressly listed above, including, but not limited to, federal, state, and local taxes, tips, entertainment, transfers, meals, and transportation to and from winner’s/guest’s home residences are the winner’s/guest’s sole responsibilities. Sponsor is not responsible for changes in schedule of any element of the Grand Prize and Sponsor is not liable for any expenses incurred as a consequence of flight cancellation/delay. Any change made by the Grand Prize winner or guest to the travel itinerary, including any cost implications, is the Grand Prize winner’s sole responsibility.

        Non-cash portion of the Grand Prize is subject to availability. These are estimated values only. The actual value of the Grand Prize is expected to vary, based on the point of origination, airfare fluctuations, and hotel pricing. If the actual value of the travel portion of prize is less than stated, difference will not be awarded in cash, and no such claim will be honored. If the Grand Prize winner resides within 300 miles of the travel destination, alternate travel arrangements may be made by the Sponsor and the Grand Prize winner and the value of prize adjusted accordingly.

        The Grand Prize trip must be completed between February 15, 2019 – February 18, 2019 or the Grand Prize winner shall forfeit the Grand Prize in its entirety. Dates of departure and return, travel route, seat selection, hotel accommodations, activities, and all elements of the Grand Prize will be arranged by the Sponsor/GMR, in their sole discretion.

    Prizes are not redeemable for cash. No substitution, transfer, or assignment of prize permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value. Any and all federal, state, and local taxes related to a prize awarded to a legal U.S. resident are solely the responsibility of the winner and Sponsor will comply with all tax reporting requirements. All other expenses not specified as part of prize description are solely the winner’s responsibility.

    Any and all guarantees and warranties for merchandise prizes are subject to the manufacturer’s terms and conditions, and winners agree to look solely to such manufacturers for any such warranty or guarantee claim. Certain conditions and restrictions apply.

  10. GRAND PRIZE WINNER: The potential Grand Prize winner will be notified by phone to the phone number provided by the winner on or around January 11, 2019. The potential Grand Prize winner will have forty-eight (48) hours from the time of notification to return the phone notification or the prize will be forfeited in its entirety. The potential Grand Prize winner must complete, sign, and return the affidavit of eligibility/declaration of eligibility, mutually acceptable liability release, and publicity release, Assignment of Rights, if applicable, and appropriate tax documents, if applicable, (the “Grand Prize Documents”) within five (5) calendar days of delivery of the Grand Prize Documents, or the prize will be forfeited in its entirety. If notified Grand Prize winner is not eligible, forfeits prize, or declines prize, the next highest-scoring Semi-Finalist may be determined as the Grand Prize Winner, time and circumstances permitting. Return of any prize/prize notifications undeliverable or failure to accept any prize within the specified time period may result in disqualification and forfeiture of prize.

    1. Grand Prize Winner’s Guest: The potential Grand Prize winner must designate one (1) guest within five (5) calendar days of delivery of the Grand Prize Documents. The guest must be 18 years of age or older, or the child/legal ward or spouse of the Grand Prize winner, and a legal resident of the fifty (50) United States or the District of Columbia or Canada (excluding Quebec). In addition, at the same time as the Grand Prize winner completes his/her Grand Prize Documents, the guest (or their parent or legal guardian or spouse, if guest is a minor) must sign and return an affidavit of eligibility, mutually acceptable liability release, and a publicity release. Failure for a guest to complete and return the documents in time specified by the Sponsor may result in that guest’s disqualification and forfeiture of the guest’s portion of the prize.

  11. ASSIGNMENT OF RIGHTS AND PUBLICITY RELEASE: Entrants further grant the Released Parties the rights to use and publish their proper names, states/provinces/territories, and Submission online, in print, and in any other media in connection with the Contest. Acceptance of a prize constitutes permission for the Released Parties to use the Semi-Finalists’, Grand Prize Winner’s, and Voter Prize winner’s name and likenesses for advertising and promotional purposes without additional compensation unless prohibited by law. By entering, entrants grant to the Released Parties a royalty-free, sub-licensable, transferable right to exploit the content of his/her Submission in any medium in perpetuity throughout the world for commercial, editorial, educational, promotional, publicity, advertising or any other purpose on behalf of the Released Parties or its affiliates, respective licensees and assigns, partners or media without further compensation unless specifically prohibited. Entrants explicitly acknowledge and agree that the Released Parties reserves the right to publish any or all content of Submission, with or without first and last name credit to the applicant; and Submissions that attempt to restrict this right will not be considered. Semi-Finalists and Grand Prize Winner shall execute at the Released Parties’ request such assignments and other documents as may be necessary to confirm or enact this assignment or any grant of rights set forth herein. By entering, entrant explicitly acknowledges that their Submission may be posted online for worldwide viewing.

  12. ADDITIONAL TERMS: By entering, entrant agrees to accept and abide by the Official Rules of this Contest and agrees that any dispute with regard to the conduct of this Contest, rule interpretation, or award of prize, shall be resolved by Sponsor, whose decision shall be binding and final. By entering, entrant agrees to be notified via Twitter or by using the contact information provided by the entrant during prize claim process by the Sponsor and/or GMR for the purposes of the administration of this Contest. All federal, state, or territory/province, and local laws and regulations apply. By participating, entrant agrees to release and hold harmless the Released Parties and Twitter, Inc. from any injury, loss or damage to person, including death or property damage due in-whole or in-part, directly or indirectly to the acceptance, use, or misuse of a prize, participation in any Contest-related activity, or participation in the Contest. The Released Parties are not responsible for any typographical or other error in the printing of this offer, administration of the Contest or in the announcement of prizes, including such error as may give an erroneous indication that a prize has been won. In the event the Sponsor is prevented from continuing with this Contest, or the integrity and/or feasibility of the Contest is undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state, or local government law, order or regulation, order of any court or jurisdiction, or other cause not reasonably within the Sponsor’s control (each a “Force Majeure” event), the Sponsor shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel, or terminate the Contest without notice or further obligation. If the Sponsor, in its discretion, elects to abbreviate the Contest as a result of a Force Majeure event, the Sponsor reserves the right, but shall have no obligation, to randomly select the winner(s) from among all valid and eligible entries received up to the time of such Force Majeure event.

  13. DISPUTES/GOVERNING LAW: All disputes concerning the construction, interpretation, validity, effect, and enforceability of these Official Rules will be governed by the laws of the state of Washington without regard to conflicts of laws provisions. Entrant (i) agrees that exclusive jurisdiction over any legal action arising out of or in connection with the Contest will be in state or federal courts located in or nearest to state of Washington and by entering consents to such jurisdiction and venue; (ii) consents to resolve any such claims individually and without resort to class action; and (iii) agrees that all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorney’s fees or punitive, incidental, consequential, or any damages other than actual out-of-pocket expenses.

  14. INTERNET: If for any reason the Internet portion of this Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, Sponsor reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify, or suspend this Contest. In any such event, Sponsor, at its sole discretion, will randomly select the winner(s) from eligible, non-suspect entries received prior to the event requiring such termination, suspension or cancellation. The Released Parties and Twitter, Inc. assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries.
